We look forward to helping Funnel Builder Marketplace Users connect with Service Providers whose creativity and talent can help Users take their businesses to the next level.

These Terms of Service (“Terms”) govern Users’ and Service Providers’ relationship with the Funnel Builder Marketplace website, including any content, functionality, and services offered on or through https://marketplace.funnelbuilder.com/ by FunnelDex LLC (3443 W. Bavaria St., Eagle, Idaho 83616). These Terms are binding on you, whether you are a User or a Service Provider.

By using the website, creating an account, or clicking on the “I agree to the Funnel Builder Marketplace Terms of Service” upon registration, you accept and agree to be bound by these Terms, the Responsible User Guidelines, the DMCA Policy, the Privacy Policy, the Payment Terms, and the Income Disclosure, on behalf of yourself, your employer, or any other entity (if applicable).

If you do not agree with these Terms, you must not access or use the Funnel Builder Marketplace.

This Site is only available to persons who are 18 years of age or older. By using the site, you represent and warrant that you meet these eligibility requirements. If you do not meet these requirements, you must not access or use the site.

1. Definitions
Funnel Builder Marketplace may collect two types of information:

Personally Identifiable Information (PII)
Information that identifies you as an individual (e.g., name, address, telephone number, email address).

Non-Personally Identifiable Information (Non-PII)
Aggregated information, demographic data, IP addresses, and other information that does not reveal your specific identity.

PII and Non-PII may be collected anytime you access or use the Funnel Builder Marketplace site, or during discussions (in-person or telephonic) and electronic communications. The Marketplace also uses cookies; blocking these cookies may limit access to certain features.

2. Registration; Usernames and Passwords
You may be required to create an account on Funnel Builder Marketplace before accessing its services.

Service Providers: You may need to provide a street address and other details so that Users can contact you if disputes arise.

Accuracy of Information: You warrant that all information provided is truthful and accurate, and that you are not impersonating another person.

Password Security: You are responsible for keeping your username and password confidential. You agree not to share or transfer these credentials to any third party.

Account Activity: You are fully responsible for all activities under your account. Notify Funnel Builder Marketplace immediately of any unauthorized use of your password or any breach of security. Funnel Builder Marketplace is not liable for any loss arising from your failure to comply with these obligations.

3. Access and Acceptable Use
Once registered, Funnel Builder Marketplace grants you a personal, non-exclusive, revocable, non-transferable, limited right to access and use the platform as permitted by these Terms. You must not:

Reverse Engineer or Modify: Decompile, disassemble, modify, rent, sell, or create derivative works of the Marketplace or any part thereof.

Violate Laws: Engage in any activity that violates U.S. federal, state, or local laws, or the laws of other applicable jurisdictions.

Breach Terms: Use the platform in a manner that violates these Terms or any other policies referenced herein.

4. Prohibited Acts and Content
By using Funnel Builder Marketplace, you agree not to engage in:

Harmful Acts: Dishonest or unethical business practices; legal violations; any action harming the reputation of FunnelDex LLC or others; infringement of others’ rights.

Spamming / Unsolicited Communications: Sending unauthorized or spam-like messages, either through the platform or to other users.

Offensive Communications: Content that is sexually explicit, obscene, pornographic, hateful, threatening, harassing, or infringes any third party’s intellectual property rights.

Cancellation of Account: If your account is terminated for violating these Terms, you will lose access to the Marketplace, and any associated data may be deleted without notice.

5. Marketplace Fees and Payment Terms
5.1 Payment Processing via Stripe
Funnel Builder Marketplace uses Stripe as its primary payment processor. By making a purchase or selling services, you also agree to comply with Stripe’s Terms of Service.

5.2 Fees
Service Provider Charge: When a User buys a service, the User pays the full amount set by the Service Provider. The Service Provider then receives the balance minus the Marketplace fee (currently 20%).

Buyer Purchase Fee: Buyers are charged a separate fee at checkout:

$2 on purchases up to $40, or

5% on purchases above $40.
These fees help cover administrative costs.

Payout Schedule: Service Provider earnings are generally released 7 days after an order is marked complete, plus any necessary banking days (commonly 3 more days). New Service Providers may be subject to an additional 7-day hold on their first payout (total 14 days).

Fee Changes: FunnelDex LLC reserves the right to change fee structures with notice or by updating these Terms. No refunds of Marketplace fees will be provided.

6. Taxes and VAT
You are solely responsible for any taxes or levies applicable to your transactions, including but not limited to VAT. FunnelDex LLC is not responsible for collecting, transmitting, or advising on taxes. You agree to indemnify FunnelDex LLC against any claims, penalties, or fees related to your failure to pay applicable taxes.

7. Independent Contractor Status
Nothing in these Terms creates an employer-employee or principal-agent relationship between FunnelDex LLC and any User or Service Provider. You are not authorized to bind or obligate FunnelDex LLC in any manner.

8. Intellectual Property
8.1 Proprietary Rights
All trademarks, logos, and service marks displayed on Funnel Builder Marketplace are the property of FunnelDex LLC or their respective owners. Nothing herein grants you any license or right to use these marks without the express written permission of FunnelDex LLC or the owner of the mark.

8.2 No License to Use Marks
You must not copy, distribute, reproduce, or otherwise use any FunnelDex LLC logo, tagline, trademark, trade name, or other proprietary information without prior written consent.

9. Leads and Transactions on Funnel Builder Marketplace
All orders stemming from leads generated within the platform or via Funnel Builder Marketplace’s marketing efforts must be transacted on the Marketplace. A “Marketplace Lead” is anyone introduced or referred to a Service Provider through the platform or related marketing.

Subsequent Orders: If a Buyer (Marketplace Customer) you met through the Marketplace requests additional services, you must process those orders through the Marketplace as well—even if you do not yet offer that service on your seller profile.

No External Transactions: You must not encourage or direct a Marketplace Customer to complete a transaction off-platform.

Consequences: Violations may lead to suspension or termination of your account.

10. No Warranty
FunnelDex LLC makes no promises or warranties about:

The quality or reliability of any Service Provider.

The success, results, or income that Users or Service Providers may achieve.

THE MARKETPLACE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED (INCLUDING TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT). FunnelDex LLC does not warrant uninterrupted, error-free access or that defects will be corrected.

Where certain jurisdictions do not allow such exclusions of implied warranties, some exclusions may not apply.

11. Dispute Resolution Between Buyer and Seller
Funnel Builder Marketplace as a Platform

Funnel Builder Marketplace provides the infrastructure for Buyers and Sellers to transact. It does not mediate individual service disputes directly. Buyers and Sellers should attempt to resolve disagreements among themselves, including scope, quality, or deliverables.

FunnelDex LLC’s Role

FunnelDex LLC may, at its discretion, offer limited support or guidance when Buyers and Sellers cannot resolve a dispute. However, FunnelDex LLC is not a party to contracts between you and cannot guarantee a resolution favorable to either side.

Chargebacks and Refunds

If a Buyer initiates a chargeback, FunnelDex LLC may cancel the transaction and inform the Service Provider.

All refunds must be resolved directly between the Buyer and the Service Provider. FunnelDex LLC is not responsible for issuing refunds nor liable for disputes regarding refunds.

12. Arbitration, Governing Law, and Attorneys’ Fees
12.1 Arbitration
All claims or disputes arising from these Terms or relating to your use of the Marketplace shall be exclusively resolved by binding arbitration in Ada County, Idaho, before a neutral arbitrator. You agree not to file a lawsuit against FunnelDex LLC in any court. The arbitrator’s decision is final and may be enforced in any court of competent jurisdiction.

12.2 Governing Law
These Terms are governed by the laws of the State of Idaho without regard to conflicts-of-law principles.

12.3 Class Action Waiver
You waive any right to participate in or initiate a class, consolidated, or representative action against FunnelDex LLC.

12.4 Limitations Period
Any arbitration claim must be brought within the timeframe set by the applicable statute of limitations.

12.5 Injunctive Relief
FunnelDex LLC may seek injunctive relief in any court of competent jurisdiction to protect its rights.

12.6 Attorneys’ Fees
Each party bears its own attorneys’ fees and costs unless a court or arbitrator orders otherwise. If a court compels arbitration, the moving party may recover reasonable costs and attorneys’ fees for the motion to compel.

13. Limitation of Liability
FunnelDex LLC’s aggregate liability to a User is limited to the total Marketplace fees collected from that User in the preceding 12 months.

FunnelDex LLC’s aggregate liability to a Service Provider is limited to the total Marketplace fees collected by FunnelDex LLC from that Service Provider’s sales in the preceding 12 months.

FunnelDex LLC is not liable for any indirect, incidental, special, or consequential damages (e.g., loss of data, profits, or business) even if advised of such possibility.

14. Force Majeure
FunnelDex LLC is not liable for any delays or failures caused by events beyond its reasonable control (Acts of God, labor disputes, civil disturbances, etc.).

15. Disclaimer of Platform Responsibility
No Endorsement: Listing a Service Provider does not constitute an endorsement by FunnelDex LLC.

No Control: FunnelDex LLC does not control the operations of Service Providers.

User-Service Provider Disputes: Any claims or grievances related to services must be addressed between Buyer and Service Provider. FunnelDex LLC is not liable for any damages arising from such disputes.

No Guarantee of Accuracy: FunnelDex LLC cannot guarantee the accuracy of Service Provider information on the Marketplace.

16. Refunds
All refund requests are the responsibility of Buyers and Service Providers to resolve. FunnelDex LLC disclaims liability for any refunds and is released from all refund-related claims.

17. Chargebacks
If a user initiates a chargeback, FunnelDex LLC may cancel the transaction and notify the Service Provider. FunnelDex LLC will pursue claims for fraudulent chargebacks to the extent permitted by law.

18. Indemnification
By Users: You agree to defend, indemnify, and hold harmless FunnelDex LLC from all losses, liabilities, or claims arising out of your breach of these Terms or your use of the Marketplace.

By Service Providers: You agree to defend, indemnify, and hold harmless FunnelDex LLC from all losses, liabilities, or claims arising out of your breach of these Terms or your services offered/sold via the Marketplace.

22. Changes to Terms
FunnelDex LLC may revise these Terms at any time. Changes become effective upon posting to the Funnel Builder Marketplace. Your continued use of the Marketplace after changes are posted constitutes acceptance of the revised Terms.

23. Severability
If any provision of these Terms is deemed unenforceable, the remaining provisions continue in full force and effect as if the unenforceable part were omitted.

24. Miscellaneous
Assignment: You may not assign or transfer any rights or obligations under these Terms without FunnelDex LLC’s prior written consent.

Waiver: No waiver of any breach constitutes a waiver of subsequent breaches.

Headings: Section headings are for convenience only and do not affect interpretation.

Entire Agreement: These Terms (along with any policies incorporated by reference) represent the entire agreement between you and FunnelDex LLC regarding Funnel Builder Marketplace, superseding all prior agreements.

Notices: FunnelDex LLC may deliver notices to you via posting, email, or mail.

Admissibility: A printed version of these Terms is admissible in judicial, arbitration, or administrative proceedings to the same extent as any other business document.

25. Survival
All provisions which by their nature should survive termination (e.g., disclaimers, arbitration, limitations of liability, indemnification) shall survive any termination of your account or these Terms.
